How many apps are tracking your children Our team of lawyers, data scientists, engineers, economists and researchers span globally with presence in California, New York, Washington DC , London and Singapore. ABOUT THE ROLE Pixalate is seeking an experienced UK-based Corporate Counsel to help accelerate growth in a cost-effective and legally-compliant manner. You will have extensive experience advising on matters concerning complex contract management, regulatory compliance, intellectual property management and technology in the context of modern software-as-a-service (SaaS) enterprises.

You will understand how UK and European law is developing to regulate the technology industry and hold versatility to steer across a broad range of regulatory and product workstreams.

You will possess a good working knowledge of corporate governance formalities, such as board and shareholder resolutions, shareholder agreements, and share option awards. The role will require extensive cross-functional collaboration across all business functions at Pixalate and experience in regulatory obligations compliance and providing administrative legal support is a must.

RESPONSIBILITIES Advising across a range of practice areas including commercial, contractual, corporate governance and regulatory advice alongside providing ad hoc legal advice to the internal teams; Drafting and negotiating a full range of complex commercial agreements, managing and overseeing inbound and outbound commercial contracts, including

cloud/SaaS arrangements, outsourcing, software development, licensing and maintenance agreements, terms and conditions, and others; Tracking and sharing emerging trends in global laws and regulations as needed; Administering and providing legal support with share award schemes (e.g., UK Enterprise Management Incentives (EMI) scheme); Leading corporate governance duties including incorporation of international affiliates and subsidiaries, drafting intercompany agreements and board resolutions, amongst other such duties as and when arising in the normal course of business activities; Undergoing GAAP audits and/or investor due diligence; and Excellent interpersonal and written/verbal communication skills. QUALIFICATION UK qualified lawyer with +2 years' PQE at a reputable law firm or in-house legal department at a software/technology focused business preferred; Additional admission in the EU or US jurisdictions would be a plus; Startup, SAAS experience with

thorough understanding of drafting, amending and negotiating material terms and conditions of subscription agreements for software-as-a-service (SAAS) businesses is essential; General understanding of employment law best practices highly desirable, and Expertise in establishing and maintaining e-room repositories for corporate governance documentation is essential.
